1.1  These Voucher Vendor Terms & Conditions (“Vendor Terms”) govern the listing and redemption of vouchers in the voucher shop (the “Shop”) of the Dastavez.net platform, operated by DASTAVEZ.NET (SMC-PRIVATE) LIMITED (“Dastavez”). They apply between Dastavez and each merchant that lists vouchers in the Shop (the “Vendor”, “you”), and form part of the Terms of Service, which apply to you as a User. Capitalised terms have the meanings given in the Terms of Service and the Value Coins & Rewards Terms. In matters concerning the Shop, these Vendor Terms prevail.
1.2  By applying for a Vendor account, clicking “I Agree”, or listing a voucher, you accept these Vendor Terms. If you act for a company, you warrant authority to bind it.
2.1 Â The Shop allows Respondents to redeem Value Coins for vouchers you issue. When a Respondent redeems a voucher at its listed Value Coin price, Dastavez settles to you the corresponding Backed Value, less the Shop Commission published in the Pricing Schedule, in accordance with Section 6.
2.2 Â Dastavez acts as a technology marketplace and settlement facilitator. You are the issuer of your vouchers and the supplier (or authorised distributor) of the underlying goods or services. Dastavez is not a party to the voucher contract between you and the Respondent, does not issue vouchers, and does not guarantee any volume of redemptions.
4.1 Â Every listing must accurately state: the issuer; what the voucher provides; its face value or entitlement; the Value Coin redemption price; the validity period; usage conditions, exclusions, and geographic restrictions; and how the Respondent uses it.
4.2 Â Minimum validity. Vouchers must remain valid for at least 90 days from redemption, and their conditions must not change adversely after redemption.
4.3 Â Prohibited vouchers. You must not list vouchers that:
4.4 Â Dastavez may review, decline, edit for format, suspend, or remove listings at its reasonable discretion, applying the enforcement and review standards of the Acceptable Use Policy.
5.1 Â You must honour every validly redeemed voucher in accordance with its disclosed terms, throughout its validity period, including where you cease listing new vouchers or these Vendor Terms terminate (Section 9.3).
5.2 Â You are solely responsible for the quality, safety, legality, and delivery of the underlying goods or services, and for compliance with consumer protection law applicable to the Respondent, including statutory guarantees, returns, and complaint handling for the underlying supply.
5.3 Â You will maintain a reasonable customer-service channel, disclosed in your listings, and respond to Respondent voucher issues within 3 business days.
6.1 Â Redemption proceeds (Backed Value less Shop Commission) are settled to your nominated account on the settlement cycle published in the Pricing Schedule, subject to a minimum settlement amount and to completed verification.
6.2 Â Set-off and clawback. Dastavez may withhold from, or set off against, settlements: (a) amounts for redemptions reversed due to fraud or error; (b) the value of Value Coins restored to Respondents under Section 7.7(c) of the Rewards Terms where a validly redeemed voucher was not honoured; (c) amounts corresponding to chargebacks or reversed payments underlying the redeemed Value Coins; and (d) reasonable costs of investigating vendor-attributable failures. Set-offs will be itemised in your settlement statement, and you may dispute them through the review procedure in Section 8.6 of the Terms of Service.
6.3 Â Reserves. For new Vendors, high failure rates, or elevated risk, Dastavez may hold a rolling reserve of up to 15% of settlements for up to 60 days, released on schedule absent claims.
6.4 Â Taxes. You are responsible for all taxes on the vouchers you issue and the underlying supplies, including VAT or sales tax treatment of the voucher itself. Dastavez will invoice the Shop Commission plus applicable taxes. Each party bears its own income taxes.
7.1  To enable fulfilment, Dastavez shares with you the minimum data necessary (such as a redemption code, redemption timestamp, and — only where the voucher requires delivery or personalisation — the Respondent details the Respondent consents to share at redemption). For such data, you are an independent controller: you must process it solely to fulfil the voucher and meet legal obligations, protect it appropriately, not use it for marketing without the Respondent’s separate consent, and delete it when no longer needed. You must notify Dastavez at privacy@dastavez.net without undue delay of any breach affecting such data.
8.1  You retain ownership of your marks and listing content and grant Dastavez a non-exclusive, royalty-free licence to display them in the Shop and in factual references to Shop availability. You warrant your content does not infringe third-party rights. Dastavez’s Platform IP remains subject to Section 9.4 of the Terms of Service.
9.1  These Vendor Terms apply from acceptance until terminated. Either party may terminate on thirty (30) days’ written notice; Dastavez may suspend or terminate immediately for material breach, fraud, unlawful listings, insolvency, or legal or regulatory risk, applying the proportionality and review standards of the Acceptable Use Policy where practicable.
9.2 Â On termination, your listings are removed and pending settlements are paid in the normal cycle, less permitted set-offs and any reserve, which is released per Section 6.3.
9.3  Survival of honour obligation. Your obligation to honour vouchers validly redeemed before termination survives, together with Sections 5, 6.2–6.4, 7, 10, and 11.
10.1 Â You will indemnify, defend, and hold harmless Dastavez, its directors, officers, employees, and affiliates from claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: your vouchers and listings; the underlying goods or services; your failure to honour a voucher; your breach of these Vendor Terms or applicable law; or your processing of Respondent data.
10.2 Â Sections 13 and 14 of the Terms of Service (Disclaimers; Limitation of Liability) apply between you and Dastavez. Dastavez does not guarantee redemption volumes, Shop placement, or Respondent demand.
11.1 Â These Vendor Terms are governed by, and disputes resolved in accordance with, Sections 16 and 19 of the Terms of Service. Dastavez may amend these Vendor Terms in accordance with Section 18 of the Terms of Service; amendments apply prospectively and do not affect vouchers already redeemed.
